Legal nature of representations and warranties

Abstract
The article studies of one of the most controversial institutions of contract law. The comparative legal method is used to analyze the legal modeling and analogy method and the provisions of Article 431.2 of the Civil Code of the Russian Federation in order to develop a discussion about the legal nature of representations and warranties. The experience of foreign countries in regulating legal relations that arise when counterparties provide representations and warranties has been studied. The theory of the functions of representations and warranties in the Russian doctrine is insufficiently developed. It is indicated that it is possible to formulate and provide representations and warranties for the future. The skeptical attitude of some researchers towards the syncretism of Article 431.2 of the Civil Code of the Russian Federation and the fact that it combines contractual and tort liability provisions is emphasized, and a conclusion is made about possible advantages of this approach of the Russian legislator. The approaches formed in the Russian legal literature to the scope of the standard of diligence of the addressee of representations and warranties when they are received have been identified. Some advantages of the current version of Paragraph 3, Clause 1, Article 431.2 of the Civil Code of the Russian Federation are formulated. The article considers a number of approaches developed so far in the Russian doctrine to determine the legal nature of representations and warranties. The author’s approach to determining the legal nature of representations and warranties is proposed, and therefore a conclusion is made that there are no theoretical and dogmatic obstacles to understanding representations and warranties as a unilateral transaction requiring discernment.
